GeneCoda® Launches Public Biotech Executive Compensation Advisory for Board-Level Compensation Decisions

New offerings provide company-specific executive compensation benchmarking and leadership-team review using SEC-filed public-company data and governed peer selection

GeneCoda® Executive & Professional Search has launched Public Biotech Executive Compensation Advisory, a new board-level advisory offering designed to help public biotech companies make executive compensation decisions using SEC-filed compensation disclosures, governed peer selection, and life sciences leadership context.

The offering builds on GeneCoda’s Public Biotech Executive Compensation Intelligence platform and extends that work from broad market reporting into company-specific decision support.

Boardroom Compensation Benchmark

The Boardroom Compensation Benchmark is designed for one executive role and one principal compensation decision, including hiring, offer calibration, retention, promotion, succession, or incumbent compensation review.

The engagement includes governed role-specific peer selection, compensation analysis across cash and equity where supportable, treatment of unusual or non-comparable observations, and a confidential board-ready report with findings discussion.

Executive Leadership Team Compensation Review

The Executive Leadership Team Compensation Review is designed for annual or multi-executive Compensation Committee review and may cover up to five executives.

The review is designed to assess external competitiveness, internal compensation coherence, forward retention, annual incentive performance, and broader leadership-team compensation priorities.

A Different Approach to Public-Company Compensation Data

GeneCoda® sources compensation values from SEC EDGAR filings or identical company-hosted filed documents and applies controlled peer-selection rules before drawing conclusions.

The methodology explicitly considers observations that may distort conventional benchmarking, including:

  • Partial-year appointments
  • New-hire and inducement awards
  • Promotion years
  • One-time or special retention grants
  • Severance and change-of-control payments
  • M&A and transition situations
  • Other non-comparable compensation events

Peer selection may consider executive role, company stage, scale, revenue status, operating complexity, leadership mandate, and source-period comparability.

GeneCoda® also applies explicit sample-size discipline. Where evidence is limited, the analysis may be described as directional, illustrative, or insufficient rather than forcing a market conclusion.
