Executive leadership structures in public biotech are not always as neatly separated as an organizational chart might suggest.
GeneCoda® analyzed the latest usable executive compensation disclosures across 393 active public biotech companies and identified 48 companies, or 12.2%, with at least one executive carrying two substantive functional mandates.
The more interesting finding is where those responsibilities converge.
Of the 48 dual-role executives identified, 28, or 58%, include the CFO function. The two most common structures were CFO/COO and CFO/CBO, with 12 observations each. Together, those two combinations account for half of all substantive dual-role cases in the analysis.
That suggests that executive-role consolidation in public biotech is disproportionately centered around finance.
The reasons can vary. A CFO may also oversee operations, corporate development, business development or another enterprise function because of company size, leadership history, capital constraints or the particular capabilities of the executive involved. The data establish the prevalence of these structures, although they do not by themselves explain why an individual company chose them.
We also examined whether companies systematically separate these roles as they mature.
Dual-role executives appeared at every stage of development:
- Clinical-stage: 20 of 123 companies, or 16.3%
- Late-stage / near-commercial: 11 of 129, or 8.5%
- Commercial / commercial-transition: 17 of 141, or 12.1%
Clinical-stage companies showed the highest prevalence and late-stage companies the lowest. However, the differences were not statistically strong enough to support a general conclusion that companies reliably separate executive responsibilities as they progress toward commercialization.
That may be the more useful finding.
A combined executive mandate is not simply an early-stage phenomenon that disappears as a biotech matures. Boards and CEOs appear to use these structures across the company lifecycle.
For leadership teams evaluating whether a combined mandate still makes sense, the more relevant questions may therefore be company-specific: How much complexity now sits within each function? Has the scope outgrown one executive? Is the combination intentional, or simply a structure that has persisted as the organization evolved?
Those are organizational-design questions as much as compensation questions.
About the analysis: GeneCoda® reviewed the latest usable executive compensation population for 393 active public biotech companies as of September 18, 2026. A dual role required simultaneous responsibility for two substantive operating functions. Governance or title adjuncts such as President/CEO, CFO/Treasurer and General Counsel/Corporate Secretary were not treated as substantive dual roles. Transition-only and former-role titles were excluded from structural prevalence. One strategic-transaction watchlist company was excluded from the three-stage analysis.
